Terms of Use

  1. Introduction

Welcome to Qstream’s Website. These Terms of Use (“Terms”) govern your (“Customer”. “Client”, “you”, “your”) access to and use of our website located at https://qstream.com/ (the “Site”), the Qstream Microlearning Platform (“Platform”) and all other Qstream services, technology, data, programs, professional services and materials (collectively, the “Services”) provided by Qstream (“Company,” “we,” “our,” or “us”). Please read these Terms of Use (the “Terms of Use”) carefully. When you elect to purchase or otherwise obtain access to any the Qstream Microlearing Platform and Services, you acknowledge and agree that your access to and use of all such products and services shall be subject to and governed by these Terms and the terms in your Master Service Agreement (“Agreement”) with Qstream for such products and services. In the event of a conflict between the Terms and your Agreement, the Agreement shall take precedence.

  1. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are agreeing to the Terms on behalf of a company or other legal entity, you represent that you have the authority to bind an entity to the Terms.

  1. Definitions
  • “User” means any individual or entity that accesses or uses the Service. 
  • “Content” means all data, text, software, audio, video, and materials provided on or through the Service.
  • “Subscription” means the plan that grants access to certain features of the Service.
  •  “Usage Metadata” means aggregated data sets, reports and analyses that Qstream or the user may create relating to the Services, in a form that is anonymized and does not identify the Company or any individual user.
  • “Intellectual Property Rights” pertains to all patents, copyrights, trade secrets, trademarks, service marks and all other worldwide intellectual property or proprietary rights (registered or not). 
  1. Eligibility

You must be at least 18 years old or have the legal capacity to enter into a binding agreement. You represent and warrant that you meet these requirements.

  1. Account Registration and Security

To use the Service, all information provided for account set-up must be accurate and complete. You are responsible for all activities that occur under your account.

  1. Access to the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service. We may modify or discontinue any part of the Service at any time.

  1. User Responsibilities and Acceptable Use

You agree not to:

  • Use the Service for any unlawful or prohibited purpose.
  • Interfere with the operation or security of the Service.
  • Upload malicious code or violate any applicable laws or regulations. 
  1. Fees and Payment Terms

A customer may purchase licences and a services subscription from Qstream by execution of an Order Form indicating the subscription fee, term and scope. The Subscription will continue until Company or Qstream cancels or terminates in accordance with this Agreement.    You agree to pay all applicable fees in accordance with the contractual pricing and payment terms. All payments are non-refundable unless otherwise stated. All payments are non-refundable and non-creditable except as expressly provided in this Agreement or applicable Order.  

  1. Intellectual Property

All Content and the Service itself, including all intellectual property rights, are owned by or licensed to Qstream. You may not copy, modify, distribute, or reverse-engineer any part of the Service. You agree that Qstream owns all Intellectual Property Rights to any feedback, comments, ideas, proposals, suggestions, recommendations or enhancement requests provided.

  1. License Grant

We grant you a limited, non-exclusive, non-transferable, non-assignable, non-sublicensable and revocable license to use the Service in accordance with these Terms. This license does not include the right to resell or redistribute the Service. You agree that the maximum number of Users that Qstream authorizes to access and use the Services will not exceed the number of seat licenses you have purchased (the “User Subscriptions”). User Subscriptions may not be used or shared by more than one individual. Any use in excess of the of User Subscriptions shall be invoiced at the applicable rate for the additional User Subscriptions, and such additional subscriptions shall be co-terminus with Company’s current Agreement term. 

  1. Third-Party Services

The Service may include links to or integrations with third-party services. We are not responsible for the content, policies, or practices of any third-party services.

  1. Confidentiality

For the purposes of these Terms, “Confidential Information” means any non-public, proprietary, or confidential information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally, in writing, or by any other means, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, product roadmaps, technical data, software code, pricing, customer lists, and any non-public information relating to either party’s products, services, employees, customers, or business operations. Confidential Information does not include information that:
a. is or becomes publicly available without breach of these Terms;
b. was known to the Receiving Party prior to its disclosure by the Disclosing Party;
c. is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information; or
d. is lawfully obtained from a third party without restriction on disclosure.

The Receiving Party will:
a. maintain the confidentiality of the Confidential Information using at least the same degree of care it uses to protect its own confidential information of similar nature, but in no event less than reasonable care;
b. not use the Confidential Information for any purpose other than as necessary to perform its obligations or exercise its rights under these Terms; and
c. not disclose the Confidential Information to any third party except to its employees, contractors, or professional advisors who have a legitimate need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein.

The Receiving Party may disclose Confidential Information if required to do so by law, regulation, or valid legal process, provided that (to the extent legally permitted) the Receiving Party gives the Disclosing Party prompt written notice and cooperates in any lawful effort to limit or contest such disclosure.Upon termination of these Terms or upon request by the Disclosing Party, the Receiving Party will promptly return or destroy all copies of the Confidential Information in its possession or control, except where retention is required by law.

  1. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, which outlines how we collect, use, and protect data. We implement appropriate security measures to protect your information. We have an Information Security Program in place that is communicated throughout the organization. Our Information Security Program follows the criteria set forth by the SOC 2 Type 2 Framework. SOC 2 is a widely known information security auditing procedure created by the American Institute of Certified Public Accountants.

  1. Termination and Suspension

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately.

  1. Disclaimers

The Service is provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. In addition to the applicable disclaimers identified herein, Qstream’s performance under these Terms of Use shall be excused in the event of interruption and/or delay due to causes beyond its reasonable control, such as acts of God, acts of any government, war or other hostility, civil disorder, the elements, fire, earthquake, explosion, acts of terrorism, power failures, equipment failure, industrial or labor dispute, acts of third party information providers, third party software errors or failures of communications interruptions or failures.

  1. Limitation of Liability

To the maximum extent permitted by law, Qstream shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service.

  1. Indemnification

You agree to indemnify and hold harmless Qstream, its directors, employees, and affiliates from any claims, liabilities, damages, and expenses arising from your use of the Service or violation of these Terms.

  1. Modifications to the Terms

We reserve the right to update these Terms at any time. We will notify you of significant changes via email or through the Service. Continued use of the Service constitutes acceptance of the updated Terms.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the application jurisdiction.
